Analysis: Jio IPO headline scale masks deeper issues

Following the news that India-based telecom giant Jio Platforms Limited is preparing a record INR302.13 billion (€2.84bn) IPO, Murthy Grandhi, Company Profiles Analyst at data and analytics company GlobalData, has suggested this masks several financial and structural questions.

“The proposed IPO is set to be India’s largest-ever public offering,” he notes.” Jio Platforms has more than 524 million subscribers, controls nearly half of India’s wireless market, and has built a formidable position in 5G, fixed wireless broadband, enterprise connectivity, cloud, and digital applications. Revenue reportedly reached roughly INR1,460 billion in FY26, while EBITDA stood near INR762.55 billion.

“However, the headline scale masks several financial and structural questions that will determine whether the stock can justify its premium. Jio Platforms is under scrutiny as INR1040 billion in deferred spectrum obligations and an expiring tax cushion raise concerns over its true debt burden and long-term cash flow. Its low customer churn rate—1.67 per cent versus Bharti Airtel’s 2.43 per cent —also suggests that Jio’s broad digital ecosystem is helping retain users.”

“Almost all proceeds from the IPO are intended to prepay conventional bank borrowings at Reliance Jio Infocomm. That should reduce interest costs and strengthen the balance sheet, but it also raises an important question: why raise up to INR302.13 billion when reported net debt was only about INR95.39 billion at the end of June?”

“The answer lies partly outside the conventional debt figure. Jio carries deferred spectrum-payment obligations, payable to the government over many years. These commitments are excluded from the company’s stated net-debt measure and are not being retired through the IPO. When spectrum liabilities and leases are incorporated, Jio’s leverage looks materially higher than its headline balance-sheet ratios imply.”

“Taxes present another source of complexity. The company reported FY26 pre-tax profit of INR403.53 billion yet paid only INR1.18 billion in cash taxes, while booking more than INR100 billion in deferred tax expense. Accelerated depreciation from years of heavy network investment has created a substantial tax shield. This does not invalidate Jio’s reported earnings, but the cash-flow benefit is temporary. As the tax shield is exhausted, potentially around FY29, annual cash-tax payments could rise toward INR110 billion or more.”

“That creates a demanding growth equation. Jio will need continued tariff increases, customer upgrades, and growth in home broadband and enterprise services to preserve free cash flow while meeting spectrum obligations and higher cash taxes. A INR10 monthly ARPU increase across its subscriber base could add more than INR60 billion in annual revenue, making even modest pricing gains financially significant. However, India remains an extremely price-sensitive telecom market, and tariff increases can weaken subscriber additions.

“Valuation is equally important. On headline price-to-earnings, Jio appears less expensive than Bharti Airtel. But P/E benefits from Jio’s unusually low current cash-tax outflow. On EV/EBITDA—the more relevant measure for capital-intensive telecom operators—Jio appears to command a premium to Airtel despite lower ARPU and lower return on capital employed.”

“Investors are therefore buying a genuine market leader, not a simple bargain. Jio combines enormous distribution, strong retention, and a credible digital-services opportunity with deferred obligations, parent-company dependencies, and a valuation that assumes sustained execution. The IPO’s real test will not be its listing-day performance. It will be whether Jio can turn scale into higher-quality, less capital-intensive, and more diversified cash flow.”
